Cas n°1 : Transfert d'un patrimoine immobilier à une société de capitaux

1. state of affairs

Prosper Ité, domicilié dans le canton de Genève, possède de nombreux immeubles de placement dans les cantons de Genève, de Vaud et de Neuchâtel. Il possédait une entreprise de construction sous la forme d'une entreprise individuelle inscrite au RC. The properties are the result of constructions carried out in the past when he was active or of acquisitions carried out in the last nine years. Désormais, il n'a plus d'activité dans le domaine de la construction.

Compte tenu de son activité passée, il est incontestablement considéré comme un commerçant professionnel de l'immobilier. Since the cessation of his entrepreneurial activity, Prosper Ité owns only a real estate portfolio consisting of investment properties which he intends to hold for the long term. He wants to transfer them to his children with the minimum of fiscal consequences.

He has always thought that the transfer of real estate to a company with shareholdings constituted a highly unreasonable operation from a fiscal point of view (mutation rights and tax on real estate assets). Nevertheless, taking into account its successor objectives, it is questionable whether it would not be possible to transfer this real estate to a company of which it would be the unique shareholder.

Jules Lemalin, fiscaliste à ses heures perdues, lui indique qu'il devrait être possible de procéder à ce transfert en neutralité fiscale au regard des dispositions régissant les restructurations d'entreprises.

Cas n°2 : Transposition / Liquidation partielle indirecte

Phil Denter is actionnaire à raison de 60% d'une société immobilière dénommée SI Les Rosiers SA. Cette société possède un immeuble de placement dans la commune de Pully achevé il y a 4 ans. Phil Denter est résident dans le canton de Vaud et possède les actions dans sa fortune privée.

The 40% shareholding is held by his partner Yvan Denges, a retired doctor living in Crans-Montana in the Valais. Les actions sont également dans sa fortune privée.

Yvan Denges informs Phil Denter that he would like to disinvest and would be prepared to sell 40% of the SI Les Rosiers SA company, as he is in need of liquid funds.

As of today, the company owns an immeuble de placement and liquidities in excess. These last liquidities are the result of a promotion that was terminated last year and an increase in the mortgage.

Le bilan de la SI Les Rosiers SA se présente comme suit :

Phil Denter, who does not hold any liquid assets, would like to set up a holding structure by means of which he would acquire a 60% stake in SI Les Rosiers SA and would proceed with the acquisition of the minority stake held by Yvan Denges. Thus, he could acquire all or part of the sales price, thanks to the company's profitable real estate business.

Cas n°3 : Détention et vente d'une SCI

Henri Fort, who is domiciled in the Canton of Vaud, owns in his private fortune a real estate property held through a civil real estate company under French law (SCI). Compte tenu de la faible valorisation du bien immobilier et de l'endettement de la SCI, Henri Fort a pu échapper au paiement de l'tax sur la fortune immobilière en France.

Until now, the Vaudois tax authorities have always considered the civil real estate company to be transparent. Thus, in the context of international taxation, the property held by the SCI was regarded as a foreign-owned property.

Lors de la récentte décision de taxation reçue par Henri Fort, les autorités fiscales ont considéré que la SCI devait être qualifiée de valeur mobilière, du fait qu'Henri Fort échappait au paiement de l'impôt en France.

Compte tenu de l'incertitude sur le mode de détention de la SCI, Henri Fort souhaite se défaire de cet investissement et profiter d'une offer très intéressante qui lui a été formulée.

In this last hypothesis, Henri Fort received the fruits of the sale by redistributing the proceeds in his favour. It is worth noting that the SCI has always been taxed in a translucid manner, as Henri Fort was known as a contributor to the French tax authorities.

Cas n°4 : Fonds de placement immobilier et changement de direction de fonds

The Immo Real Estate Fund, which is domiciled in Geneva, is managed by Immo Management SA, a company domiciled in Geneva. De nature contractuelle, le fonds immobilier possède des immeubles de placement dans les cantons de Genève, de Vaud et de Fribourg.

For organisational and economic reasons, it has been decided to change the management of the fund and to entrust the management of the real estate portfolio managed by Immo Real Estate Fund to a fund management company based in the canton of Vaud called Profond Management SA.

Cependant, avant d'entamer ce change de prestataire dans la gestion du fonds, on souhaite procéder à l'analyse des conséquences fiscales de ce transfert, dès lors que certains soutiennent que le change de direction de fonds pourrait générer une imposition au titre des droits de mutation (ou droits d'enregistrement dans le canton de Genève).
