Numerous small and medium-sized companies in Switzerland will have to arrange their succession in the next five to ten years, many of which are family-owned. It can be assumed that succession solutions outside the family will also increase strongly for such companies, whether through sale to competitors, management buy-in (MBI) or management buy-out (MBO). Only in rare cases is a sale to financial investors or even an initial public offering (IPO) an option for these companies. On the other hand, there is an increasing tendency for the departing generation to be prepared to participate in the financing of the company being handed over, either temporarily or for the longer term.
The focus of this seminar is on the tax analysis of various approaches to succession planning while retaining operational management by the owners. Using examples from practice, succession solutions are presented with their tax opportunities and risks.
